Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Claudia website (claudia.agency) and the Claudia software, operated by NTERPRISE Corp ("we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Description of Service
Claudia is a development system that orchestrates coding agents with human oversight. The service includes:
- The Claudia software platform
- Documentation and educational content on our website
- Community resources and support channels
License
Claudia is commercial software owned by NTERPRISE Corp. Some components may be released under the MIT License and are identified as such in their respective source files or documentation. For MIT-licensed components, you are free to use, modify, and distribute them in accordance with that license. All other components and the Claudia software as a whole require a commercial license for use.
Acceptable Use
When using our website and services, you agree not to:
- Violate any applicable laws or regulations
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services or infrastructure
- Use automated systems to scrape or overload our website
- Misrepresent your identity or affiliation
Your Responsibilities
When using the Claudia software, you are responsible for:
- Your own infrastructure, API keys, and service accounts
- Compliance with the terms of service of third-party providers (GitHub, Anthropic, OpenAI, Slack, etc.)
- The actions taken by agents operating under your configuration
- Reviewing and approving agent-generated code before deployment
- Maintaining appropriate security controls and access management
- Any costs incurred from API usage, cloud infrastructure, or other services
Intellectual Property
The Claudia name, logo, software, and website content are owned by NTERPRISE Corp. You may not use our trademarks without prior written permission, except as required for reasonable and customary use in describing the origin of the software.
Code you generate or modify using Claudia belongs to you, subject to the licenses of any dependencies or content terms from your providers.
Disclaimer of Warranties
THE CLAUDIA SOFTWARE AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NTERPRISE CORP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or business opportunities
- Costs of API usage or infrastructure
- Damages arising from agent-generated code, including bugs, security vulnerabilities, or system failures
- Damages arising from unauthorized access or data breaches
- Any interruption or cessation of services
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED US DOLLARS ($100).
Indemnification
You agree to indemnify, defend, and hold harmless NTERPRISE Corp from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the software, violation of these Terms, or infringement of any third-party rights.
Modifications to Terms
We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
